Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “User”) and Ray AI Inc., a Delaware corporation with its registered office at 251 Little Falls Drive, Wilmington, DE 19808, USA (“Ray AI”, “we”, “us”, “our”), governing your access to and use of Sidle (the “Service”).

BY CLICKING “SUBSCRIBE”, INSTALLING THE BROWSER EXTENSION, OR OTHERWISE USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE LIMITATION OF LIABILITY IN SECTION 7 AND THE LINKEDIN-RELATED RISKS DISCLOSED IN SECTION 8. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. The Service

Sidle is a software-as-a-service tool that automates outbound LinkedIn connection requests from your own LinkedIn account. You install a Chrome extension that operates within your own browser and your own LinkedIn session. We do not log into LinkedIn on your behalf from our servers.

2. Eligibility & Account

You must be at least 18 years old, have legal capacity to enter into a contract, and have a valid LinkedIn account that you own and control. You are responsible for keeping your Sidle credentials confidential and for all activity that occurs under your account.

We retain all rights, title, and interest in and to the Service, including all software, designs, trademarks, and documentation. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service during the term of your subscription. You retain all rights to data you upload (campaigns, ICPs, leads).

6. Privacy & Data

Our processing of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. We act as a processor for the LinkedIn lead data you collect; you are the controller for that data and represent that you have a lawful basis to process it.

7. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. USE OF THE SERVICE IS AT YOUR SOLE RISK.

We make no representation that your use of the Service will produce any particular outcome (e.g. acceptance of connection requests, generation of leads, business growth).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) USD 100. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

8. LinkedIn-Specific Risks — YOUR ACKNOWLEDGEMENT

LinkedIn is a third-party service operated by LinkedIn Corporation. LinkedIn’s User Agreement and Professional Community Policies prohibit certain forms of automated activity. While Sidle is engineered to mimic natural human behaviour (randomized timing, conservative daily limits, browser-side execution on your own IP), we cannot and do not guarantee that LinkedIn will not detect, restrict, suspend, or permanently ban your account.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT RAY AI IS NOT LIABLE FOR ANY LINKEDIN ACCOUNT WARNING, RESTRICTION, SUSPENSION, BAN, FEATURE LIMITATION, OR LOSS OF DATA, REPUTATION, OR BUSINESS RELATIONSHIPS resulting from your use of the Service.

You further acknowledge that:

We reserve the right to update the daily limit, pacing, and detection-evasion mechanisms at any time without notice in order to protect users in aggregate.

9. Indemnification

You agree to defend, indemnify, and hold harmless Ray AI, its officers, directors, employees, and agents from any claim, damage, loss, or expense (including reasonable attorneys’ fees) arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right, including LinkedIn’s User Agreement.

10. Termination

We may suspend or terminate your access at any time for breach of these Terms, non-payment, or illegal use. Upon termination, your right to use the Service ceases immediately. Sections 5, 6, 7, 8, 9, 11, 12, and 13 survive termination.

11. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction there. Notwithstanding the foregoing, EU consumers retain any mandatory rights and protections granted to them by the law of their country of residence.

12. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated by email and posted on this page with an updated “Last updated” date. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right does not constitute a waiver. These Terms constitute the entire agreement between you and Ray AI regarding the Service and supersede any prior agreement.
